CollabVillage – Terms of Use (TOU)

Welcome to CollabVillage!  By using CollabVillage website, a service provided by CollabVillage Media Inc, you agree to the following and are bound by CollabVillage's Terms of Use. It is important that you read, understand, and agree to this entire document, as it creates a binding contract between you and CollabVillage ("CV" or "us" or "we"). These terms and conditions define and limit your rights and responsibilities in using CollabVillage Website. We may revise these terms and conditions (the "Agreement") at any time by posting them to the site. You will be bound by such revisions and should therefore visit this page from time to time to review the current terms and conditions.

Basic Terms

1. By using CollabVillage Services, you represent and warrant that a) all registration information is truthful and accurate; b) you will maintain the accuracy of such information; c) you are 15 years of age or older.
2. You are responsible for any activity that occurs under your username.
3. You are responsible for keeping your password secure and for maintaining the confidentiality of your password.  You agree not to use the account, username, or password of another Member at any time.  You agree to notify CollabVillage if you suspect any unauthorized use of your account or access to your password.  CollabVillage cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 3
4. You must not abuse, harass, threaten, impersonate or intimidate other CollabVillage Members.
5. You may not use the CollabVillage.com service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.
6. You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio and video clips, links ("Content") that you submit, post, and display on the CollabVillage.com service.
7. You must not modify, adapt or hack CollabVillage.com or modify another website so as to falsely imply that it is associated with CollabVillage.com .
8. You must not create or submit unwanted email to any CollabVillage members ("Spam").
9. You must not transmit any worms or viruses or any code of a destructive nature.
10. You must not, in the use of CollabVillage, violate any laws in your jurisdiction (including but not limited to copyright laws).
11. If you choose to use services on CollabVillage that are provided by other organizations then you will agree to their terms of use.  Some examples of other service providers include Vimeo, SoundCloud, LinkedIn, Yahoo!, PayPal, and YouTube.  Your account settings on these other service providers take precedence and governs your experience on CollabVillage
12. Registration data and other information about you are subject to our applicable Privacy Policy.  For more information, please see our entire privacy policy.  You understand that through your use of the CollabVillage Services you consent to the collection and use (as set forth in the applicable Privacy Policy) of this information, including the transfer of this information to Canada and/or other countries for storage, processing and use by CollabVillage and its affiliates
13. You agree to indemnify and hold harmless CollabVillage, and its subsidiaries, affiliates, officers, agents, or other partners, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of and access to CollabVillage, your violation of the TOU, your violation of any rights of another person or entity, or your violation of any applicable laws or regulations
14. WARRANTY DISCLAIMER: WE TRY TO KEEP COLLABVILLAGE SAFE, FREE FROM BUGS, BUT YOU AGREE THAT YOUR USE OF COLLABVILLAGE WEBSITE SHALL BE AT YOUR SOLE RISK TO THE FULLEST EXTENT PERMITED BY LAW, COLLABVILLAGE MEDIA INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISLCAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF.  COLLABVILLAGE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR WEBSITE, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTIONS OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, OR TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA COLLABVILLAGE WEBSITE.  COLLABVILLAGE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILTIY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH COLLABVILLAGE WEBSITE OR ANY HYPERLINKED WEBSITE OR FEATURED BANNER OR OTHER ADVERTISING, AND COLLABVILLAGE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THE THIRD PARTY PROVIDERS OF PRODUCTS OR SERVICED, AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGEMENT AND EXERCISE CAUTION WHERE APPROPRAITE.
15. LIMITATION OF LIABILITY: IN NO EVENT SHALL COLLABVILLAGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR WEBSITE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA COLLABVILLAGE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
    
    YOU SPECIFICALLY ACKNOWLEDGE THAT COLLABVILLAGE SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

The Website is controlled and offered by CollabVillage from its facilities in Canada. CollabVillage makes no representations that the CollabVillage Website is appropriate or available for use in other locations. Those who access or use the CollabVillage Website from other jurisdictions do so at their own volition and are responsible for compliance with local law. Violation of any of these agreements will result in the termination of your CollabVillage.com account. While CollabVillage.com prohibits such conduct and content on its site, you understand and agree that CollabVillage cannot be responsible for the Content posted on its web site and you nonetheless may be exposed to such materials and that you use the CollabVillage.com service at your own risk. General Conditions

1. We reserve the right to modify or terminate the CollabVillage.com service for any reason, without notice at any time.
2. We reserve the right to alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will notify you via internet mail according to the preference expressed on your account. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgement.
3. We reserve the right, in accordance with any applicable laws, to refuse service to anyone for any reason at any time.
4. We may, but have no obligation to, remove Content and accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Use.
5. We may study member click through rates and other clicking behaviour, and we may choose to use third party companies to help us understand what content is relevant.
6. CollabVillage service makes it possible to post images and text hosted on CollabVillage to outside websites. This use is accepted (and even encouraged!). However, pages on other websites which display data hosted on CollabVillage.com must provide a link back to CollabVillage.
7. We reserve the right to reclaim usernames on behalf of businesses or individuals that hold legal claim or trademark on those usernames.

Copyright (What's Yours is Yours)

1. We claim no intellectual property rights over the material you provide to the CollabVillage service. Your profile and materials uploaded remain yours. You can remove your profile at any time by deleting your account. This will also remove any video, text and images you have stored in the system.  However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).
2. We encourage users to contribute their creations to the public domain or consider progressive licensing terms.
3. CollabVillage undertakes to obey all relevant copyright laws. Copyright infringement claims against video and audio displayed on CollabVillage must be taken up with the following video and audio providers on CollabVillage: YouTube, Vimeo, SoundCloud. We will review all claims of image copyright infringement received and remove content deemed to have been posted or distributed in violation of any such laws. To make a claim, please provide us with the following:
   1. A physical or electronic signature of the copyright owner or the person authorized to act on its behalf;
   2. A description of the copyrighted work claimed to have been infringed;
   3. A description of the infringing material and information reasonably sufficient to permit CollabVillage to locate the material;
   4. Your contact information, including your address, telephone number, and email;
   5. A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
   6. A statement that the information in the notification is accurate, and, under the pains and penalties of perjury, that you are authorized to act on behalf of the copyright owner.
